About The Role
You are a strategic dealmaker who builds Hippocratic AI's next growth chapter through acquisitions and partnerships. As Director of Corporate Development, you source, evaluate, and execute deals that expand our healthcare platform—from patient access and triage to scheduling and after-hours services. You'll develop investment theses, lead cross-functional diligence, and drive integration that unlocks synergies and accelerates our market position.
This role combines dealmaking rigor with strategic vision, where your judgment on target selection and execution directly shapes Hippocratic AI's growth trajectory in healthcare services.
What Success Looks Like
- Strategic Deal Pipeline: You build segmented market maps and maintain a proactive pipeline of acquisition targets; deals align with corporate strategy and have clear synergy potential
- Disciplined Diligence & Underwriting: Every deal is rigorously evaluated with sound financial models, clear investment theses, and identified risks; you synthesize diligence across commercial, financial, legal, and operational dimensions
- Successful Deal Execution: You drive deals from initial interest through close; complex processes move smoothly with clear workstreams, managed stakeholders, and resolved issues
- Value Creation & Integration: Acquisitions deliver projected synergies; integration plans are pragmatic and executed; KPI dashboards track post-close performance against plan
- Relationship & Network Leverage: Founders, bankers, PE funds, and lenders know you; relationships generate deal flow and support successful execution
Core Competencies
- 5+ years in PE, investment banking, or corporate development with multiple closed transactions; strong financial modeling, underwriting, and comfort with debt structures
- Deep healthcare services knowledge and working understanding of HIPAA/BAA; familiarity with contact centers, clinical operations, or related verticals
- Ability to build investment theses that connect market opportunity, strategic fit, and value creation; strong business case development
- Excellent executive communication and stakeholder management; ability to influence across finance, legal, operations, and external advisors
- Strategic thinking on M&A strategy, integration, and synergy realization; comfort with deal complexity and ambiguity
Outcomes You'll Deliver
- Strategic Growth Through M&A: Closed acquisitions that expand HAI's healthcare services footprint; deals deliver on synergy cases and financial projections
- Robust Deal Process & Risk Management: Diligence processes identify risks early; integration plans are executed; post-close KPIs tracked and value-creation levers managed
- Synergy Realization: Revenue expansion, cost optimization, and operational improvements realized post-close; financial and operational KPIs meet or exceed plan
- Relationship & Deal Flow: Active pipeline maintained; sourced deals reflect market intelligence and strategic priorities; external advisors, lenders, and sponsors actively support execution
- Organizational Learning & Capability: Each deal builds playbook and institutional knowledge; diligence templates, integration frameworks, and lessons learned documented and scaled
What You'll Do
- Build segmented market maps and target lists across priority verticals; maintain a proactive pipeline and CRM.
- Develop investment theses and business cases (market sizing, positioning, synergy logic, execution risks).
- Lead cross-functional diligence (commercial, financial, legal, HR, tech/security, and—where applicable—clinical ops).
- Own models and investment materials: LBO/roll-up cases, purchase price bridge with WC peg & debt-like items, sources & uses tie-out, synergy cases/ramps, downside scenarios, and NPV/IRR.
- Partner with external advisors (QoE, legal, tax, insurance/RWI) and financing sources.
- Track value-creation levers (revenue expansion, SG&A optimization, WFM, vendor consolidation) and report results.
What You Bring
Must-Have:
- 5+ years in private equity, independent sponsor, investment banking, or corporate development with multiple closed transactions.
- Strong financial modeling and underwriting skills; comfort with debt financing and definitive documents.
- Healthcare services familiarity and working knowledge of HIPAA/BAA constructs; contact center exposure a plus.
- BS/BA degree required.
Nice-to-Have:
- Prior exposure to contact centers or outsourced clinical operations (triage, patient access, scheduling).
- Experience with TSAs, carve-outs, and cross-border tuck-ins.
- Familiarity with AI/automation in service operations (QA, WFM, routing, agent assist). ● Network among lower-middle-market sponsors, bankers, and lenders in healthcare services.
Compensation & Location
- Periodic travel for sourcing, diligence, and integration (≈30–40%).
